These Terms of Service govern access to and use of VoiceConnect, the cloud communications platform supplied by JRJ Global Ltd. By ordering, activating or using VoiceConnect, the customer agrees to these terms together with any applicable order form, proposal, service schedule or written commercial agreement.
2. The service
VoiceConnect may include cloud PBX, browser/WebRTC calling, telephone numbers, SIP services, call routing, queues, voicemail, call recording, messaging, WhatsApp Business Platform integrations, contact-centre functions, reporting and related administration tools. Features available to a customer depend on the subscribed service and configuration.
3. Business use and authorised users
VoiceConnect is intended primarily for business use. The customer is responsible for its authorised users, credentials, tenant administrators, devices, contact data and the actions performed through its account.
- Credentials must be kept secure and must not be shared with unauthorised persons.
- The customer must promptly notify JRJ Global of suspected compromise or unauthorised use.
- The customer must ensure that user details, telephone numbers and routing instructions supplied to us are accurate.
4. Acceptable use
The customer must not use VoiceConnect to send unlawful, fraudulent, abusive, deceptive, threatening or unsolicited communications, to infringe the rights of others, to bypass provider restrictions, or to interfere with the security or availability of VoiceConnect or any connected network.
5. Communications, consent and recording
The customer is responsible for ensuring that its calls, messages, marketing communications, recordings and monitoring activities comply with applicable laws and industry rules. Where notification or consent is required for call recording, messaging, marketing or monitoring, the customer is responsible for obtaining it.
6. WhatsApp Business Platform
Where VoiceConnect is connected to WhatsApp, the customer must maintain an eligible WhatsApp Business Account and comply with applicable Meta and WhatsApp terms, policies, messaging rules, templates, calling permissions and country restrictions.
Meta or WhatsApp may change, restrict, suspend or withdraw functionality. JRJ Global is not responsible for a third-party platform decision outside our reasonable control, although we will make reasonable efforts to assist with service issues.
7. Telephone numbers, carriers and third-party services
VoiceConnect may rely on telecommunications carriers, internet connectivity, hosting providers and other third-party platforms. Telephone numbers and routes may be subject to carrier rules, regulatory requirements, porting processes and service availability.
8. Availability and maintenance
We aim to provide a reliable service but do not guarantee uninterrupted availability. Planned maintenance, emergency maintenance, internet failures, carrier outages, customer equipment, third-party platform incidents and events outside our reasonable control may affect service.
9. Customer data
The customer retains responsibility for the data and content it submits to VoiceConnect. The customer grants JRJ Global the rights reasonably necessary to process that data for the purpose of providing, securing, supporting and administering the service.
Our handling of personal data is described in the VoiceConnect Privacy Policy.
10. Security and tenant isolation
VoiceConnect is designed as a multi-tenant service. JRJ Global uses access controls and tenant-scoped processing intended to keep each customer’s operational data and configuration separated. Customers must not attempt to access another tenant’s data, credentials, calls, messages or configuration.
11. Fees and payment
Fees, usage charges, billing periods and payment terms are set out in the applicable quotation, order form, service schedule or invoice. Charges from telecommunications carriers, messaging platforms or other third parties may be passed through where agreed.
12. Suspension
We may suspend access where reasonably necessary to protect the service, respond to security incidents, comply with law or provider requirements, address material non-payment, or stop serious misuse. Where reasonably possible, we will notify the customer.
13. Intellectual property
JRJ Global and its licensors retain ownership of VoiceConnect software, platform design, documentation and related intellectual property. These terms do not transfer ownership of the platform to the customer.
14. Confidentiality
Each party must protect confidential information received from the other and use it only for the purposes of the business relationship, except where disclosure is required by law or expressly authorised.
15. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, JRJ Global is not liable for indirect or consequential loss, loss of profit, loss of anticipated savings, or losses caused by customer misuse, internet connectivity, customer equipment or third-party services outside our reasonable control.
Where a separate signed agreement or order form specifies liability limits, those agreed limits take precedence.
16. Termination
Either party may terminate in accordance with the applicable order, subscription or written agreement. On termination, service access may cease and data will be retained or deleted in accordance with our contractual, legal and operational obligations.
17. Changes
We may update these terms where reasonably necessary to reflect changes in VoiceConnect, law, security requirements or third-party platform rules. Material changes will be communicated or published with an updated revision date.
18. Governing law
Unless a separate written agreement states otherwise, these terms are governed by the laws of England and Wales and disputes are subject to the courts of England and Wales.
